The client remains responsible for content, images, trademarks, logos, data, documents and other materials supplied to Zera Creative.

The client represents that, to the extent applicable, it has the necessary rights, licences and permissions to provide those materials to Zera Creative and to permit us to use them for the agreed project.

The client is responsible for third-party claims arising from materials supplied by the client where the claim results from the client’s lack of rights, permissions or lawful authority.

7. Marketing and Advertising Services

Digital marketing results may depend on many factors outside Zera Creative direct control.

These may include:

  • Search-engine algorithms.
  • Advertising-platform policies.
  • Competition.

  • Customer behaviour.
  • Changes to third-party platforms.
  • Website performance.
  • Budget.

  • A particular advertising return on investment.
  • A specific number of followers, views or engagements.
  • Approval of an advertising account.
  • Continued availability of any third-party platform.
  • Any specific commercial outcome.

We will provide the services with reasonable care and skill consistent with the agreed scope of work.

8. Search Engine Optimisation (SEO)

SEO involves processes and strategies designed to improve organic visibility and search performance.

Because search engines independently determine rankings and may change their algorithms, Zera cannot guarantee specific rankings, traffic levels, indexing outcomes or search-engine positions unless expressly agreed otherwise in writing.

SEO recommendations may involve changes to website content, structure, technical configuration, metadata, links and other elements.

The client is responsible for approving material changes where client approval is required.

9. Paid Advertising

Where Zera manages paid advertising campaigns, advertising spend paid to third-party platforms is separate from Zera’s professional fees unless expressly stated otherwise.

Advertising platforms may reject, suspend, restrict or modify advertisements or accounts according to their own policies and systems.

Zera is not responsible for a third-party platform’s decision to reject, suspend, restrict or discontinue an advertisement, account, campaign or service, except to the extent caused by Zera’s breach of its agreed obligations.

10. Website Development and Technology Services

Where Zera provides website design, development or technology services:

  • The agreed proposal or statement of work will define the project scope.
  • Additional features or changes may incur additional fees.
  • Third-party software, plugins, themes, APIs, hosting and other services may be subject to separate terms and fees.
  • The client is responsible for maintaining licences and subscriptions that are registered in the client’s name.

Zera may use or integrate third-party services and platforms, including advertising networks, search engines, analytics platforms, social networks, hosting providers, payment processors, software platforms, APIs and other technology services.

Third-party services are controlled by their respective providers.

We are not responsible for changes, outages, restrictions, suspension, termination or policy changes imposed by third-party providers, except where such responsibility arises from our own breach of an applicable agreement or law.

12. Fees and Payment

Professional fees, payment schedules, taxes, expenses and other commercial terms will be specified in the applicable proposal, quotation, invoice or service agreement.

Unless otherwise agreed in writing:

  • Invoices are payable according to the payment terms stated on the invoice or agreement.
  • Applicable taxes or government charges may be added where required by law.
  • Third-party advertising spend, software subscriptions, hosting, domains, stock assets and other external costs may be charged separately.
  • Additional work outside the agreed scope may be charged separately.
  • Work may be paused where an undisputed payment remains overdue, subject to applicable law and the relevant agreement.

Where advance payment is required, work may commence after the required payment has been received and any necessary onboarding information has been provided.

13. Taxes and VAT

Fees may be subject to applicable taxes, including UAE Value Added Tax (VAT), where applicable.

Where VAT or another applicable tax is legally required, it may be added to the stated service fee and shown on the relevant invoice.

14. Project Timelines

We will make reasonable efforts to meet agreed project timelines.

Timelines may depend on:

  • Client approvals.
  • Availability of required information.
  • Third-party services.
  • Technical requirements.
  • Scope changes.
  • Revisions.
  • Advertising-platform approvals.
  • Website or hosting dependencies.
  • Other circumstances outside our reasonable control.

A delay caused by the client or a third party may result in a corresponding adjustment to the project timeline.

15. Revisions and Scope Changes

The number of revisions included in a project will be specified in the applicable proposal or agreement.

Requests that materially change the agreed scope may be treated as additional work.

Examples may include:

  • New pages or features.
  • Additional creative concepts.
  • Major design changes after approval.
  • Additional campaigns.
  • New platforms.
  • Additional integrations.
  • Significant changes to previously approved content, or

Additional work will be discussed with the client before significant additional charges are incurred, unless otherwise agreed.

16. Intellectual Property

Unless otherwise stated in a written agreement, Zera Creative retains ownership of its pre-existing materials, methodologies, templates, processes, systems, know-how, tools, concepts and reusable resources.

Subject to full payment of all applicable fees, the client will receive the rights to the final deliverables specifically created for the client to the extent stated in the applicable agreement.

Third-party materials remain subject to their respective licences and terms.

These may include:

  • Stock photographs.
  • Fonts.
  • Plugins.
  • Themes.
  • Software.
  • APIs.
  • Music.
  • Video assets.
  • Templates, and Other third-party resources.

Payment for Zera Creative services does not automatically transfer ownership of third-party intellectual property.

17. Zera Creative’s Portfolio and Promotional Use

Unless otherwise agreed in writing, Zera Creative may identify the client as a client and display completed work in its portfolio, website, presentations, case studies or marketing materials.

If a client requires confidentiality or does not wish its project to be publicly displayed, this should be agreed with Zera Creative in writing.

We will respect reasonable confidentiality obligations and any specific restrictions agreed in writing.

18. Confidentiality

Each party may receive confidential information belonging to the other party during a project.

Each party agrees to use reasonable care to protect confidential information and not disclose it to unauthorised third parties except:

  • Where disclosure is necessary to perform the agreed services.
  • To professional advisers or service providers who have a legitimate need to know.
  • Where required by law or a competent authority.
  • Where the information is already publicly available through no breach of confidentiality.

Confidentiality obligations do not apply to information that was already lawfully known, independently developed or becomes publicly available without breach of these Terms.

19. Personal Data

Where Zera Creative processes personal information in connection with its services, such information will be handled in accordance with our Privacy Policy and applicable UAE data-protection requirements.

Where a client provides personal data to Zera Creative for processing on the client’s behalf, the parties may need to enter into additional data-processing terms depending on the nature of the processing and applicable law.

The client remains responsible for ensuring that it has an appropriate legal basis and necessary permissions to provide personal data to Zera Creative where required.

20. Communications

By contacting Zera Creative or submitting an enquiry, you agree that we may communicate with you regarding your enquiry, proposal, project or services.

Marketing communications will be handled in accordance with applicable law and our Privacy Policy.

You may opt out of non-essential marketing communications at any time.

21. Cancellation and Termination

The cancellation and termination terms applicable to a specific project will be set out in the relevant service agreement, proposal or statement of work.

Where no separate termination provisions apply, either party may request termination by providing reasonable written notice, subject to:

  • Payment for services already performed.
  • Payment for approved third-party costs and committed expenses.
  • Payment for completed deliverables.
  • Any agreed notice period.
  • Any other obligations that survive termination.

24. Limitation of Liability

To the extent permitted by applicable law, Zera Creative will not be responsible for indirect, incidental, special or consequential losses arising from the use of the Website or services where such loss is not reasonably foreseeable or is not otherwise attributable to a breach of our obligations.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable UAE law.

In particular, nothing in these Terms is intended to remove or restrict mandatory consumer rights, statutory protections or liability that cannot lawfully be excluded.

Any specific contractual limitation of liability applicable to a paid service may be stated in the relevant service agreement.

25. Indemnification
